Indemnification

You agree to indemnify, defend and hold harmless Compression Health, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Compression Health reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Compression Health in asserting any available defenses.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. Compression Health AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.

IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

 

Termination/Access Restriction

Compression Health reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of New York and you hereby consent to the exclusive jurisdiction and venue of courts in New York in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

 

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Compression Health as a result of this agreement or use of the Site. Compression Health's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Compression Health's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Compression Health with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

 

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Compression Health with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Compression Health with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

 

Changes to Terms

Compression Health reserves the right, in its sole discretion, to change the Terms under which compressionhealth.com is offered. The most current version of the Terms will supersede all previous versions. Compression Health encourages you to periodically review the Terms to stay informed of our updates. MPRBRANDS TERMS & CONDITIONS FOR MOBILE SERVICE

Company overview & Service Conditions

The SMS Marketing Program offers Standard rate SMS subscription service to users who wish to receive mobile text alerts (“Service”) from MPRBrands, LLC and its affiliates, brands, franchisees, stores, and studios (collectively “MPRBrands”, “we”, “us”, or “our”). The following terms and conditions govern your use of this Service. Your use of any aspect of the Service will constitute your agreement to comply with these terms and conditions.

Message & Data Rates Apply, Frequency of Program

We do NOT charge any fee for the Service. BUT Message & Data Rates May Apply. Your mobile service provider (aka wireless service provider) may charge you for SMS messages sent or received as set forth in your mobile rate plan (including error messages).

Service/Help

To get help, contact us at marketing@goodfeet.com. For help with The Good Feet Store messaging, you may request our assistance at any time by texting HELP to 466338.

Opt In/Opt Out

How to Opt-in: You may opt-in to a MPRBrands SMS Marketing by agreeing to receive text messages at the time you provide your information to us. For The Good Feet Store SMS Marketing, you can opt-in by texting RELIEF to GOODFT (466338). Soon after completing this action, you will receive a text prompting the Service you requested.

How to Opt-out: To opt-out from any SMS service, you can reply STOP to the message you receive. For The Good Feet Store, you can text STOP to 466338 from your mobile phone and we will unsubscribe you from the Service. You will not receive any additional messages from MPRBrands SMS Marketing should you opt out.

Contact Information

You represent and warrant that the cell phone number you enter in the Service is registered in your name and may legally enter into and be bound by these Terms and Conditions. Any data/information collected from you in conjunction with your use of the Service will be used by MPRBrands in accordance with its Privacy Policy. Your mobile service provider may independently collect data about your use of SMS text messages (including the Service), in accordance with your mobile service provider’s policies.

Age Restriction:

You may not use of engage in this Service if you are under thirteen (13) years of age. If you use or engage in this Service and are between the ages of thirteen (13) and eighteen (18) years of age, you must have your parent’s or legal guardian’s permission to do so. By using or engaging the Service, you acknowledge and agree that you are not under the age of thirteen (13) years, are between the ages of thirteen (13) and eighteen (18) and have your parent’s or legal guardian’s permission to use or engage the Service or are of adult age in your jurisdiction. By using or engaging with the Service, you also acknowledge and agree that you are permitted by your jurisdiction’s Applicable Law to use and/or engage with the Service.

The Service is currently available on most wireless carriers in the United States, including AT&T, Verizon Wireless, Sprint, T-Mobile, U.S. Cellular, Boost Mobile, MetroPCS, Virgin Mobile, Alaska Communications Systems (ACS), Appalachian Wireless (EKN), Bluegrass Cellular, Cellular One of East Central, IL (ECIT), Cellular One of Northeast Pennsylvania, Cricket, Coral Wireless (Mobi PCS), COX, Cross, Element Mobile (Flat Wireless), Epic Touch (Elkhart Telephone), GCI, Golden State, Hawkeye (Chat Mobility), Hawkeye (NW Missouri), Illinois Valley Cellular, Inland Cellular, iWireless (Iowa Wireless), Keystone Wireless (Immix Wireless/PC Man), Mosaic (Consolidated or CTC Telecom), Nex- Tech Wireless, NTelos, Panhandle Communications, Pioneer, Plateau (Texas RSA 3 Ltd), Revol, RINA, Simmetry (TMP Corporation), Thumb Cellular, Union Wireless, United Wireless, Viaero Wireless, and West Central (WCC or 5 Star Wireless).

T-Mobile is not liable for delayed or undelivered messages.

For all of these carriers, The Good Feet Store short code number is 466338. The Service may not be available on other wireless carriers and may not be compatible with a given mobile phone model. Users can use the Service if they have the ability to send and receive text messages on their mobile (cell) phones.

Content

You agree not to modify the format or branding of the content provided by the Service (“Content”), or to add any materials, including any advertisements or other promotional content, to such Content. The Content is owned by MPRBrands, our agencies, affiliates, or licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Content on the mobile phone registered for the Service, solely for your own personal, non-commercial use. You shall not reproduce, modify, perform, transfer, distribute, sell, create derivative works, or otherwise use or make available the Content or the Service except as expressly provided for in this Agreement.

Trademarks

The trademarks, logos and service marks (collectively the “Trademarks”) displayed by the Service are registered and unregistered Trademarks of MPRBrands, or affiliates. Nothing contained in the Service should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Trademark displayed by the Service without the prior, written permission of MPRBrands. Your misuse of the Trademarks displayed by the Service or any other content on the Service is strictly prohibited. You are also advised that MPRBrands will aggressively enforce its intellectual property rights to the fullest extent of the law, including the seeking of criminal prosecution.

Liability

While MPRBrands uses reasonable efforts to include accurate and up-to-date Content as part of the Service, MPRBrands and its agencies make no warranties or representations as to its accuracy at any given time. MPRBrands and its agencies assume no liability or responsibility for any errors or omissions in the Content of the Service. MPRBrands provides the Service “AS IS” and “AS AVAILABLE” and shall not be held liable for your use of the Content. MPRBrands and its agencies will not be liable for any delays, errors or irregularities in the transmission or receipt of any messages as delivery is subject to effective transmission from your network operator. MPRBrands and its agencies further disclaim any liability for circumstances beyond their control which interfere with one’s receipt or non-receipt of any text message or other usage of the Service (e.g., a natural disaster or other force majeure event).

TO THE FULLEST EXTENT ALLOWED BY LAW, MPRBRANDS DISCLAIMS ALL WARRANTIES WITH REGARD TO THE SERVICE, INCLUDING WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE.

MPRBRANDS AND ITS AGENCIES ARE NOT LIABLE FOR ANY OTHER DAMAGES OF ANY KIND, WHETHER INCIDENTAL, PUNITIVE, CONSEQUENTIAL OR OTHERWISE (SUCH AS, LOST PROFITS), OR ATTORNEYS’ FEES.

Duty to Notify and Indemnify:

If at any time you intend to stop using the mobile telephone number that has been used to subscribe to the Program, including canceling your service plan or selling or transferring the phone number to another party, you agree that you will complete the User Opt-Out process set forth above prior to ending your use of the mobile telephone number. You understand and agree that your agreement to do so is a material part of these terms and conditions. You further agree that, if you discontinue the use of your mobile telephone number without notifying Us of such change, you agree that you will be responsible for all costs (including attorneys’ fees) and liabilities incurred by Us, or any party that assists in the delivery of the mobile messages, as a result of claims brought by individual(s) who are later assigned that mobile telephone number. This duty and agreement shall survive any cancellation or termination of your agreement to participate in any of our Programs.

YOU AGREE THAT YOU SHALL INDEMNIFY, DEFEND, AND HOLD US HARMLESS FROM ANY CLAIM OR LIABILITY RESULTING FROM YOUR FAILURE TO NOTIFY US OF A CHANGE IN THE INFORMATION YOU HAVE PROVIDED, INCLUDING ANY CLAIM OR LIABILITY

UNDER THE TELEPHONE CONSUMER PROTECTION ACT, 47 U.S.C. § 227, et seq., OR SIMILAR STATE AND FEDERAL LAWS, AND ANY REGULATIONS PROMULGATED THEREUNDER RESULTING FROM US ATTEMPTING TO CONTACT YOU AT THE MOBILE TELEPHONE NUMBER YOU PROVIDED.

Revisions

MPRBrands may at any time revise these Terms and Conditions by updating this posting. You are bound by any such revisions and should therefore periodically visit this page to review the current Terms and Conditions to which you are bound. Should MPRBrands determine that you are in violation of these Terms and Conditions, MPRBrands may suspend or terminate your use of the Service. Your use of the Service will also terminate if your wireless service plan terminates or lapses. MPRBrands may discontinue the Service at any time.
